Terms and Conditions

The rules that apply when you access or use SellUp in Canada.

1. Acceptance and eligibility

Effective August 15, 2026. These Terms and Conditions form an agreement between you and SellUp when you access or use SellUp. If you do not agree, do not use the service.

You must have legal capacity to enter this agreement and must comply with the laws that apply where you live and transact. If you use SellUp for an organization, you confirm that you have authority to bind it.

2. Accounts

Provide accurate information, keep one person’s account under that person’s control, protect your sign-in credentials, and promptly update your information. You are responsible for activity through your account unless applicable law provides otherwise. Tell us promptly about suspected unauthorized access.

3. SellUp’s marketplace role

SellUp provides tools to publish and discover listings and communicate. Unless a particular SellUp service expressly states otherwise, SellUp is not a party to user transactions and does not own, inspect, deliver, insure, certify, or guarantee listed items, users, payments, or outcomes.

Buyers and sellers decide whether and how to transact. You are responsible for inspection, authenticity, ownership, safety, pricing, taxes, licences, delivery, payment, and any agreement between users.

4. Listings and user conduct

  • Provide truthful, current, complete descriptions, real prices, appropriate categories, and accurate Canadian locations.
  • Do not post illegal, stolen, counterfeit, recalled, unsafe, infringing, discriminatory, sexually exploitative, or otherwise prohibited content or services.
  • Do not mislead users, manipulate search, scrape the service, send spam, impersonate others, evade restrictions, distribute malware, phish, or attempt unauthorized access.
  • Do not use SellUp to violate federal, provincial, territorial, municipal, tax, consumer-protection, product-safety, privacy, or intellectual-property laws.

5. Content licence

You retain ownership of content you submit. You grant SellUp a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, format, display, distribute, and technically adapt that content only as reasonably needed to operate, secure, improve, and promote SellUp and your listing. The licence ends when content is deleted, except for reasonable technical, legal, safety, and backup needs.

You confirm you have the rights and permissions needed for the content you submit.

6. Messages, safety, and moderation

Use chat for legitimate marketplace communication. SellUp may process relevant communications, reports, and activity to deliver features, prevent abuse, investigate concerns, and enforce these Terms.

We may reject, restrict, remove, de-rank, or review content; limit features; suspend or terminate accounts; and preserve relevant records when reasonably necessary for safety, law, system integrity, or enforcement. We do not promise to review every listing or message.

7. Payments and third-party services

Any price or fee for a SellUp paid service will be shown before purchase. Payment processing may be provided by Stripe and is also subject to applicable provider terms. Google, Meta, mapping, storage, and other integrated services are operated by third parties with their own terms and privacy practices.

A payment arranged directly between users is their responsibility unless SellUp expressly offers a protected transaction feature and states its separate terms.

8. Intellectual property

SellUp’s software, design, branding, and original content are protected by applicable laws. Except as allowed by law or written permission, you may not copy, reverse engineer, sell, or exploit the service or use SellUp branding in a way that suggests endorsement.

9. Disclaimers and liability

SellUp is provided on an “as available” basis. To the maximum extent permitted by law, we do not promise uninterrupted operation or the accuracy, quality, safety, legality, or availability of user content or transactions.

Nothing in these Terms excludes rights, warranties, remedies, or liability that cannot legally be excluded under applicable Canadian law. Subject to those non-waivable rights, SellUp is not responsible for indirect, incidental, special, consequential, or punitive loss arising from user content, user conduct, off-platform transactions, or events outside our reasonable control.

10. Ending use and changes

You may stop using SellUp or delete your account. We may suspend or terminate access for violations, risk, legal requirements, or discontinuation. Provisions that by their nature should survive will survive.

We may update these Terms. Material changes will be posted with an updated date and additional notice where required. Continuing to use SellUp after changes take effect means you accept them, where permitted by law.

11. Governing law and contact

These Terms are governed by the laws of Canada and the province or territory applicable to you, without removing any non-waivable consumer rights or right to bring a claim in a forum available under applicable law.
